Affisell Platform General Terms of Use

These General Terms of Use ("GTU") govern access to and use of the Affisell platform (hereinafter the "Platform"), published by Affisell SAS, a simplified joint-stock company with a capital of 10000 euros, registered with the RCS of Aix-en-Provence under number 913XXXXXX000XX, with its registered office at 123 rue du Commerce, 13100 Aix-en-Provence, intra-community VAT number FR{{TVA}} (hereinafter "Affisell", "we").
Article 1 — Purpose and scope
1.1. Affisell provides an online marketplace enabling Suppliers to offer products, Affiliates (creators / partners) to market them via a dedicated storefront, and Buyers to purchase these products.
1.2. Affisell acts as a host within the meaning of Law No. 2004-575 of 21 June 2004 on confidence in the digital economy (LCEN). Affisell is not the seller of products offered on the Platform, unless expressly stated otherwise on a product page.
1.3. The GTU apply to any User of the Platform. Suppliers and Affiliates are also subject to their respective specific terms (Supplier TOS, Affiliate TOS).
Article 2 — Definitions
- Buyer: natural or legal person placing an order via the Platform.
- Affiliate: curator partner marketing a Supplier's products via an Affisell listing; they are not the seller of the goods.
- Supplier: professional offering products on the Platform.
- Listing: product page customized by an Affiliate (price, media, description).
- Order: sales contract concluded between the Buyer and the Supplier, facilitated by Affisell.
Article 3 — Registration and account
3.1. Registration requires accurate information and acceptance of the GTU and the Privacy Policy.
3.2. The User is responsible for the confidentiality of their credentials.
3.3. Affisell may suspend or terminate an account in the event of GTU violation, fraud, counterfeiting, or breach of public order.
Article 4 — Affisell's role and tripartite relationship
4.1. The product sales contract is concluded directly between the Buyer and the Supplier. The Affiliate acts as a curator partner (storefront, selection, markup) and is not the seller of the goods. They receive partner remuneration (commission and/or margin) to be declared under their country of residence rules; seller obligations (including VAT on the product sale to the consumer) rest with the Supplier.
4.2. Affisell receives a platform commission calculated on the net amount excluding VAT of the order line (excluding VAT), according to the applicable scale (default rate 10%, variable by category or product).
4.3. Payments are processed via Stripe (Stripe Connect for Supplier and Affiliate payouts). Affisell is not a payment institution.
Article 5 — Prices, VAT and invoicing
5.1. Prices displayed to the Buyer may be shown inclusive of tax when VAT is collected via Stripe Tax or an equivalent mechanism, based on the Buyer's delivery or consumption country.
5.2. The Supplier remains responsible for tax obligations on the product sale (VAT, consumer invoicing). The Affiliate declares partner remuneration under their country of residence. Affisell provides transaction data to facilitate accounting.
Article 6 — Payments and payouts
6.1. Payouts to Suppliers and Affiliates are made via Stripe Connect, in principle 7 days after delivery confirmation or applicable legal period (D+7), subject to dispute, return, or chargeback.
6.2. Affisell may temporarily withhold funds in the event of suspected fraud, non-compliance, or legal obligation.
6.3. In the event of a Buyer refund, commissions may be subject to proportional clawback (see Refund Policy).
Article 7 — Delivery and shipping SLA
7.1. The Supplier undertakes to ship within a maximum period of 48 business hours after payment, unless a longer period is displayed on the product page or an extension is agreed via the "Ship Pulse" tool.
7.2. Repeated failure to meet the SLA may result in penalties, delisting, or termination (see Supplier TOS).
Article 8 — Right of withdrawal and returns
8.1. The consumer Buyer benefits from a 14-day right of withdrawal for eligible goods, subject to legal exceptions (Articles L221-28 et seq. of the French Consumer Code).
8.2. Practical procedures are detailed in the Refund Policy.
Article 9 — Intellectual property
9.1. The Platform, its brand, code, and editorial content are protected. Any unauthorized reproduction is prohibited.
9.2. Affiliates and Suppliers warrant that they hold the rights to the content they publish (images, texts, videos).
Article 10 — Liability
10.1. Affisell is subject to a best-efforts obligation regarding Platform availability.
10.2. Affisell is not liable for content published by Users, nor for Supplier breaches (non-conformity, delay), within the limits permitted by law.
10.3. In the event of proven fault by Affisell, liability is limited to the amount of commissions received on the Order concerned over the preceding twelve (12) months.
Article 11 — Personal data
Data processing is described in the Privacy Policy. The User may exercise their GDPR rights from their GDPR space.

Article 13 — GTU amendments
Affisell may amend the GTU. Users will be informed in the event of a substantial change. Continued use constitutes acceptance where permitted by law.
Article 14 — Applicable law and disputes
14.1. The GTU are governed by French law.
14.2. In the event of a dispute with a consumer, mandatory rules of their country of residence may apply. An amicable solution shall be sought beforehand at contact@affisell.com.
14.3. Failing that, jurisdiction of the courts within the jurisdiction of Affisell's registered office, subject to specific attribution imposed by law.
