Affiliate General Terms (AGT)

These Affiliate General Terms ("AGT") supplement the GTU and govern the relationship between Affisell SAS and any partner registered as an Affiliate (creator, influencer, storefront curator).
Article 1 — Curator partner status (not seller)
1.1. The Affiliate is an independent commercial partner who selects, presents, and promotes Supplier products via an Affisell storefront. They are not the seller of the goods: the sales contract is between the Buyer and the Supplier (see GTU and GTC).
1.2. The Affiliate does not ship products, hold stock, issue the consumer sales invoice for the goods, or bear primary responsibility for conformity, delivery, or legal warranties attached to the sale — subject to honest communication duties (Article 5).
1.3. Accordingly, seller regulations applicable in the Buyer's country (distance-selling obligations, pre-contractual product information, legal conformity warranties, withdrawal rights against the seller, etc.) do not apply to the Affiliate as curator, but to the selling Supplier and, where relevant, Affisell as technical intermediary.
1.4. The Affiliate acts as a professional or non-professional according to their declaration. They remain solely responsible for registration and tax/social reporting of their partner remuneration under the rules of their country of tax residence (or permanent establishment), without prejudice to platform reporting obligations imposed on Affisell (Article 3).
1.5. VAT on product sales to Buyers is determined by the Buyer's delivery or consumption country, collected at payment on the Platform (Stripe Tax or equivalent), and is the selling Supplier's obligation. The Affiliate, not being the seller, is not liable for this VAT as a retail resale of the product to the end consumer.
1.6. VAT on partner remuneration depends on the Affiliate's status, country of residence, and legal qualification of their service (curation, referral, promotion). The Affiliate assesses this with their tax adviser where appropriate.
Article 1.7 — "Ambassador" terminology
The term "Ambassador", used for marketing, designates exclusively an independent Affisell Affiliate Partner as defined in Article 1.
It does not create subordination, a sales mandate on behalf of the Supplier, or an employment relationship with Affisell or its Suppliers.
1.8. Affisell is not the Affiliate's employer. Affisell may report platform earnings to competent authorities (DAC7, digital platform tax reporting, or equivalent).
Article 2 — Listings and commercial positioning
2.1. The Affiliate may freely set their commercial markup between 0% and 120% above the Supplier catalogue price, within the Platform's technical limits.
2.2. The partner catalogue net price displayed to the Buyer equals the Supplier price plus the Affiliate's markup (excluding product VAT and excluding Affisell platform fees integrated into the payment flow).
2.3. The Affiliate undertakes not to mislead the Buyer regarding the seller's identity (Supplier), origin, characteristics, or availability of the product.
Article 3 — Remuneration, tax and platform reporting
3.1. The Supplier may offer a commission (percentage of the catalogue) paid to the Affiliate in addition to the markup. This commission is funded by the Supplier, not by Affisell.
3.2. Total Affiliate earnings on a sale = Supplier commission + net markup (after Affisell fees calculated on the customer net base according to the GTU). This amount is partner remuneration to be declared by the Affiliate.
3.3. Affisell provides transaction statements (dashboard, exports, payment notifications). The Affiliate keeps these for accounting and filings in their country of residence.
3.4. Affisell may be required under EU or national law to collect, verify and transmit to the competent tax authority information on the Affiliate's identity and income received via the Platform (including DAC7). The Affiliate undertakes to provide accurate information and keep it up to date.
3.5. Affisell does not provide tax, social or legal advice. The Affiliate consults a qualified professional in their jurisdiction where appropriate.
Article 4 — Payments
4.1. Affiliate payouts are made via Stripe Connect, in principle at D+7 after eligibility, subject to clawback in the event of a refund.
4.2. The Affiliate issues invoices or remuneration receipts according to their legal status and country rules — not a consumer goods sales invoice.
Article 5 — Content and ethics
5.1. Prohibited: spam, misleading advertising, counterfeiting, hateful or illegal content, unauthorized use of third-party brands, presenting the Affiliate as the product seller.
5.2. The Affiliate complies with third-party platform rules (Meta, TikTok, etc.) when sharing Affisell links.
5.3. Affisell may remove a listing or suspend an account without notice in the event of a violation.
Article 6 — Data and confidentiality
6.1. The Affiliate accesses only Buyer data strictly necessary for order fulfilment (order email, shipping address via the Supplier).
6.2. The Supplier may hide their net Supplier price detail from the Affiliate according to storefront settings.
Article 7 — Intellectual property
The Affiliate grants Affisell a non-exclusive licence to display their storefront content on the Platform.
Article 8 — Termination
8.1. The Affiliate may close their account; orders in progress remain fulfilled.
8.2. Affisell may terminate in the event of fraud, AGT non-compliance, or harmful reputation.
